The Official Rules - 2011 T.R.A.F.F.I.C. Domain Conference & Expo Promotion

NO PURCHASE NECESSARY TO ENTER OR WIN. VOID WHERE PROHIBITED.

1. Eligibility: Open to legal residents of the fifty (50) United States and the District of Columbia and to legal residents of other countries as allowed by applicable law. Entrants must be at least fourteen (14) years old and any entrants who are under the age of majority in their jurisdiction, must have parental permission and consent to participate. TheParkingPlace.com is a division of Media Breakaway, LLC (the "Sponsor"). Employees, officers and members of the Sponsor, its parents, affiliates, and subsidiaries (collectively, "Released Parties"), and their immediate families (mother, father, sister, brother, any child, husband, wife regardless of where they reside), and those living in the same household of such employees, officers and members, whether or not related, are not eligible to enter or win. All applicable federal, state, and local rules apply. An entrant's account with TheParkingPlace.com must be in good standing as of October 1, 2011 in order to be eligible for a Prize. Void where prohibited or restricted by law.

2. To Enter: The TheParkingPlace.com 2011 T.R.A.F.F.I.C. Domain Conference & Expo Promotion ("Promotion") begins at 12:01am MST, July 1, 2011 and ends at 11:59pm MST, September 30, 2011 (the "Promotion Period"). All current and new clients of TheParkingPlace.com will be automatically entered in the Promotion. Every active client who generates $10,000 or more in revenue with TheParkingPlace.com within the Promotion Period will qualify for a free single-person standard registration for T.R.A.F.F.I.C. Domain Conference & Expo 2011 at the Ritz-Carlton Ft. Lauderdale ("T.R.A.F.F.I.C. 2011 Registration"). Entrants may only obtain Prize during the Promotion Period (on a per account, per company, or per individual basis as determined by Sponsor), and will only be entered into the Promotion once. Ritz-Carlton is a registered trademark of The Ritz-Carlton Hotel Company, L.L.C. The Ritz-Carlton has no association with Media Breakaway, LLC, nor does it endorse the Promotion or the products and services we provide. The T.R.A.F.F.I.C. Domain Conference & Expo does not endorse the Promotion or the products and services we provide.

3. Prize: There will be an unlimited number of prizes consisting of a T.R.A.F.F.I.C. 2011 Registration (each a "Prize"). Approximate Retail Value: U.S. $1,700.00 each. All federal, state, and local taxes on a Prize are the sole responsibility of the winner, and the winner will be required to sign and return to Sponsor an IRS Form W-8 or W-9 (if required by IRS regulations), prior to and as a condition of acceptance of a Prize.

4. General: No transfer, assignment, cash redemption, or substitution of the Prize is allowed except by the Sponsor in its sole discretion and then for a prize of comparable or greater value. In the event of noncompliance with these Official Rules, or if the Prize or Prize notification is unclaimed or returned as undeliverable, the Prize will be forfeited and, at the Sponsor's discretion, may be awarded to an alternate eligible winner. By participating, entrants agree: (A) to be bound by these Official Rules and that the decisions of the Sponsor will be binding and final in all respects; (B) that the Sponsor and its designees shall have the right and permission to use (unless prohibited by law) winner's name, voice, city and state of residence, photograph and/or likeness for advertising and/or trade and/or any other purpose in any and all media now or hereafter known throughout the world in perpetuity without further compensation, permission or notification; and, (C) that Released Parties are not liable and shall be held harmless by entrant for any claim, action, liability, loss, injury and/or damage to entrant and/or any other person and/or entity, due in whole or in part, directly or indirectly, by reason of the acceptance, possession, use and/or misuse of a Prize or participation in this Promotion. Released Parties are not responsible for lost entries; incomplete entries; or other errors or problems of any kind whether mechanical, human, electronic or otherwise relating to or in connection with the Promotion, including, without limitation, errors which may occur in connection with the administration of the Promotion or the processing of entries; for lost, late, incomplete, inaccurate, delayed, undelivered, misdirected or illegible entries; or for printing or typographical errors appearing in these Official Rules, the announcement of the Prizes or other Promotion-related materials. Any portion of a Prize not accepted by the winner will be forfeited. If this Promotion is not capable of running as planned due to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures or any other cause which corrupts or affects the administration, security, fairness, integrity or proper conduct of this Promotion, the Sponsor reserves the right, in its sole discretion, to void suspect entries and/or modify, terminate or suspend this Promotion and, in the event of termination or suspension of the Promotion, at its discretion select winners from all eligible, non-suspect entries received prior to event requiring such termination or suspension. Any claim or dispute arising from or out of this Promotion and these Official Rules shall be governed by the laws of the State of Colorado. Venue for any such claim or dispute shall be exclusively in the Federal or state court in the County of Denver, Colorado. By entering the Promotion, each entrant agrees that service of any process, summons, notice or document by U.S. registered mail to such person's respective address shall be effective service of process for any action, suit or proceeding in the state and federal courts located in the State of Colorado, with respect to any matters to which it has submitted to jurisdiction as set forth above. In addition, each entrant irrevocably and unconditionally waives application of the procedures for service of process pursuant to the Hague Convention for Service Abroad of Judicial and Extrajudicial Documents in Civil or Commercial Matters.
